Assistant General Counsel - Corporate and M&A

Aon, a dynamic professional services company, is seeking an experienced, hard-working, highly motivated and collaborative Assistant General Counsel to join the Corporate Law team supporting M&A and strategic transactions across the firm, with a focus on transactions in EMEA and APAC.

This role reports to the Global Chief Counsel, Corporate and is based in Aon's operating headquarters in London. This is a role with the flexibility to work both virtually and from the London office.

Position Responsibilities:

  • Advise business leaders on legal matters relating to strategic transactions, including M&A, joint ventures, strategic investments, and other transactions

  • Progress key legal and business workstreams in connection with M&A transactions, including liaising with key stakeholders such as Corporate Development, Finance, Technical Accounting, Treasury, People Organization, Law & Compliance, Commercial Real Estate, Investor Relations and Risk Management

  • Coordinate due diligence and handle external consultants, including outside counsel, financial and other advisers. Support with the shortlisting and selection of outside counsel and maintain relationships with them

  • Support strategic acquisitions globally, principally across the EMEA & APAC regions

  • Support on corporate matters, including corporate secretarial, securities, corporate structuring, and governance matters, including producing and updating internal policies and procedures

  • Draft and negotiate transaction documents (including producing and updating in-house standard form agreements), conduct and oversee legal due diligence, advise on disclosure exercises and closings

  • Advise internal clients on integration and separation planning and execution following divestments and acquisitions

  • Lead teams of legal and non-legal professionals in due diligence exercises

  • Work with senior leadership in the Law & Compliance department and across the firm to communicate and resolve key legal and business issues in strategic transactions, including developing and overseeing the implementation of post-closing remediation plans where relevant


  • Minimum Requirements:

  • Approximately 7+ years post-qualification experience and experience gained within law firms or corporate in-house legal departments. In-house experience is desirable but not required.

  • Significant experience advising corporations on M&A and strategic transactions, with experience in cross-border transactions in EMEA and APAC

  • Experience building collaborative Relationships: Establishes relationships based on trust and respect. Promotes the inclusion of diverse knowledge, skills, and experiences to achieve results.

  • Excellence in Execution: Proactively seeks ways to improve effectiveness to meet business needs. Learns equally from successes and failures.

  • Excellent analytical skills and versatility in solving and handling legal issues.
