Full Job Description

Travers Smith is recruiting a 0-4 PQE lawyer to join our award-winning department. The Associate will be required to work collaboratively with colleagues to ensure the delivery of an outstanding client service.

The successful candidate will be able to demonstrate both a flexible and innovative approach to advising on a wide variety of incentives ranging from tax-advantaged share option plans to international share offers, management incentive plans to cash and deferred bonus arrangements. They will assist our clients with the employee incentive aspects of corporate transactions such as management buy-outs, stock market flotations and takeovers. They will advise on all aspects of employment tax, including the employment related securities regime, global mobility issues and termination settlements.

Key Responsibilities

Our clients comprise companies (including those that are UK-based, international, listed, private equity-backed or owner managed), asset managers, executives, non-executives and trustees of employee trusts.

As an Associate you can expect to have a plethora of responsibilities including, but not limited to:

  • Advising on the design and implementation of employee equity and cash incentive plans in the UK and internationally.

  • Advising on compliance with Corporate Governance and Institutional Investor Guidelines, working closely with the firm's Listed Company Advisory Team.

  • Advising on management buy-outs, bolt-on acquisitions, stock market flotations and takeovers, working closing with the firm's Corporate, Transactional Tax and Funds teams.

  • Advising on all aspects of employment taxation, including social security, working closely with the firm's Employment team.

  • Proactively keeping up to date with changes in the law and treatment of incentives.

  • Engaging with business development plans and supporting with business proposals.

    Qualified Solicitor in a Common Law jurisdiction.

  • Demonstrable experience working in a similar role within a Tax or Incentives team in a similar firm.

  • Competent in drafting and commercially astute.

  • Evidence of strong verbal and written communication skills.

  • An inquisitive personality with a keen attention to detail.

  • Can work both autonomously and within a collegiate environment.

  • Resourceful with excellent time management skills.

  • A willingness to show commitment and engagement to the firm's culture.
