Full Job Description

The role requires someone with a flexible, focused and positive approach to minute taking, who is able to record the information in an impartial way without imposing their own opinions into the notes taken. The role requires someone who can embrace a varied and demanding workload and who can recognise the changing needs of our governance structure and the Corporate Secretariat Team. The role requires someone who will be available to attend meetings both in person and online. Cross site travel across all the hospital sites and at external venues is a requirement of the role., To support the Company Secretary in the provision of company secretarial support and advice to the two Trusts and University Hospitals Tees. The purpose of the corporate secretariat service is to advise and support the Group Chair, Group Board of Directors, Trust Board of Directors and two Council of Governors on all aspects of regulation, corporate governance and effective business conduct for the organisation. The post holder will support the Company Secretary to ensure the Trust complies with relevant legal, constitutional and regulatory requirements and that procedures, systems and processes are established and operate to facilitate achievement of good practice. To create and maintain effective working relationships at all levels, internal and external to the Trust, including the local health economy, which relate to the two Trusts and University Hospitals Tees. The post holder will support the Company Secretary to ensure the Group Board of Directors, two Trust Board of Directors and two Council of Governors, and their respective Committees and Groups run efficiently and effectively and that they are properly serviced and recorded. This will include, as necessary, drafting of accurate reports, across a range of subjects. To service and support the Group Board of Directors, two Trust Board of Directors and two Council of Governors, and their respective Committees and Groups, as required and determined by the Company Secretary, including the setting up of such committees; establishing the agenda, sending out papers, printing, taking minutes and sending them out within the agreed timelines. To be the first point of contact for all NED and Governor enquiries. The post holder will need to establish strong relationships and inspire confidence from those working at the most senior level. They will work with minimal supervision in an organised, efficient manner in order to maximise the effective use of both their own time and that of the Chair, NEDs and Governors.
