Full Job Description

A unique opportunity to join a growing team of experts - our London Structured Finance Team is seeking a Derivatives Lawyer. The practice covers a very broad range of derivatives instructions, including finance-linked hedging, credit derivatives, equity, commodities, FX and collateral (variation margin and initial margin projects together with bespoke arrangements supporting longevity insurance / reinsurance transactions). The team is regularly instructed to negotiate trading documents on behalf of its clients (including ISDA Master Agreements, LFCs, EFET, GMRAs and GMSLAs). The team also regularly advises on regulatory aspects of the derivatives market including in relation to EMIR, MiFID and SFTR. The practice is growing and has recently won some significant panel appointments and new instructions. THE TEAM: The AG Derivatives practice sits with the firm's Structured Finance & Securitisation team. The Structured Finance & Securitisation team joined the Firm in April 2020 and are a well-established practice led by market-renowned partner Rachel Kelly, with over 30 years' experience in structured finance and capital markets at major international law firms. The team now has four Partners. The team works very closely with other practices across the Firm, in particular with teams specialising in Financial Services Transactions, Financial Regulation & Compliance and Insurance. Following a very busy and successful period, the team is expanding. This is a fantastic opportunity to be part of and help grow a new practice area for the Firm., The candidate will undertake a broad range of tasks, including both negotiation of transaction documentation and regulatory advice for clients. Key elements of the role will include:

  • negotiation of trading documentation including ISDA Master Agreements, GMRAs and GMSLAs
  • advice in relation to finance-linked hedging documentation (including finance-linked ISDA Master Agreement and hedging provisions in finance documentation)
  • advice in relation to long-form transaction confirmations across various assets classes, including commodities, credit and foreign exchange
  • advice in relation to voluntary carbon credit trading documentation
  • advice in relation to financial collateral arrangements (including negotiation of ISDA collateral documentation, account control agreements and custody agreements)
  • advising on derivatives portfolio sales (including portfolio sale agreements and transfer documentation)
  • advice in relation to regulatory compliance (with a particular focus on EMIR, SFTR and MiFIR) together with associated agreements such as delegated reporting agreements and adherence to related ISDA Protocols
  • advice in relation to synthetic securitisation transactions
  • negotiation of client clearing agreements
  • negotiation of prime brokerage agreements
  • advising prudentially regulated entities on their regulatory capital requirements including recognition of netting/collateral arrangements and
  • providing advice in relation to market infrastructure (including trading venues and securities depositories).
  • The Managing Associate/ Associate will be required to engage directly with clients and may be the primary day-to-day contact for discrete matters. Documents

    Our successful candidate will have:
  • 3+ PQE working within the derivatives practice of a law firm or working in-house for a bank, broker or investment manager
  • Strong academic qualifications
  • Strong derivatives experience, ideally covering both transactional and regulatory advice
  • Good, demonstrable, technical knowledge in the area
  • Enthusiasm for intellectually challenging work, with the ambition and confidence to deliver at the highest standard
  • Excellent client relationship and communication skills
