Full Job Description

The Principal, Counsel is primarily responsible for providing legal and policy advice and support on matters in the Principal, Counsel's area of responsibility. Working closely with other staff across the Bank, the Principal, Counsel ensures that legal risks and issues relating to matters assigned to him/her team are identified, addressed and managed.,

  • Works on borrowing operations under the Bank's Global Medium Term Note programme, Commercial Paper Note issuing programme and other types of funding operations, both in the international capital markets and in the Bank's region of operations.

  • Works on derivatives and capital market operations in established and emerging markets (including derivatives, repo and other master agreements).

  • Works on other Treasury matters requiring legal advice.

  • Provides the full range of legal assistance on a substantial number of new and existing matters in their area of responsibility, including structuring, drafting of agreements, and advising on legal and policy issues.

  • Monitors (or supports other Counsel in monitoring) a substantial portfolio of matters in his/her area of responsibility, which matters are of a complexity commensurate with their level of experience, including advising relevant departments on the interpretation of agreements etc.

  • Manages (or supports other Counsel in managing) the engagement and work of external law firms, ensuring cost effective utilisation of legal services and appropriate balance of internal and external legal advice.

  • Contributes to the knowledge management activities of OGC, including, as appropriate, through the preparation and dissemination of memoranda and policy briefs, the updating and development of relevant country law information or of resources in a specialised subject area, and participating in EBRD's on-going policy dialogue by providing legal advice/updates in relation to such countries or subject areas.

  • Assists OGC Management on specific assignments.

  • Participates in inter-departmental working groups and task forces in order to develop Bank policies or to deliver on the Bank's strategic initiatives.

  • Participates in the supervision and mentoring of the work of Interns, Associates, Senior Associates and, if applicable, Counsel.

    A law degree from a leading university in his or her home country and a post-graduate law degree from a leading university or relevant professional legal experience in another country.

  • Admitted to practice law in at least one jurisdiction.

  • Normally not less than five years of experience in their area of responsibility gained, depending on their area of responsibility, in an international law firm, the in-house legal department of a top commercial/investment bank, or international organisation (including EBRD).

  • Demonstrable experience in international capital markets (e.g., debt capital markets and derivatives, structured finance etc.).

  • Excellent command of the English language, including excellent skills to draft and negotiate legal documents in English. A command of French or German is an advantage.

  • Excellent drafting, negotiation and project management skills as well as excellent interpersonal and communication skills.
