Full Job Description

As Share Plans Manager you will report to the Deputy Company Secretary and be a key member of the Company Secretariat team of this FTSE100 global medical solutions and technology company. With the responsibility for the administration of Convatec's share plans, working effectively with key internal and external stakeholders, including HR/Reward, Finance and Company Secretariat colleagues, as well as our third-party share plans administration provider and trustees of the EBT.   • Serving as primary liaison and managing the relationship with our third-party share plans administrator, and trustee. Ensuring timely and accurate administration of Convatec's share plans including share plan grants, vestings and maturities.
  • Ensuring all participant share plan transactions are correctly processed and settled, with appropriate governance in place.
  • Working closely with HR/Reward in the management of the end-to-end process for the annual & quarterly grants and vests in relation to the executive share plans (LTIPs and Share Plan /RSUs), including verification of details to be provided, and uploaded to the share plan portal.
  • Administering Convatec's annual UK and International Sharesave invitations and Employee Stock Purchase Plan (ESPP) in the US; developing communication materials ahead of the annual launch and maturity. Providing eligibility data to the share plan administrator, calculating the option price and minimum & maximum savings amounts in local currency.
  • Ensuring correct treatment applied to leavers and provide share plan proration calculations as and when requested by HR/Reward.
  • Providing monthly payroll reports to relevant payrolls for reporting/recording purposes following share vestings and Sharesave maturities.
  • Working collaboratively with key internal partners in Company Secretariat, Finance, Payroll, Communications, Legal and Tax functions to ensure any internal requirements are defined and delivered.
  • Working with HR to ensure share plan data is entered accurately on Convatec's HRIS system (Workday)
  • Preparing equity reports for management including reports for budget forecast and administrative papers and reports for Remuneration Committee
  • Ensuring all service level agreements with our third-party share plans administration provider are met and reviewed appropriately.
  • Reviewing, querying and approving invoices from third-party vendors, working with finance to manage payment requests.
  • Working with Company Secretariat colleagues to ensure timely RNS announcements are made in relation to PDMR grants, vestings and maturities.
  • Working with Reward to ensure Senior Management meet and maintain their Shareholding requirements.
  • First point of contact for all share plan related queries.

    An excellent working knowledge of Executive and All-Employee plans, Deferred awards, Long Term Incentive plans, and Sharesave plans and their administration in an international listed company environment.
  • Excellent written and verbal communication skills, with attention to detail.
  • A team player comfortable managing internal and external relationships, but also able to work independently and effectively.
  • Project management skills.
