If you're highly motivated and would love to work with us as we continue to grow, then we would love to hear from you Your new role: The Group Legal Counsel (Company Secretary) 'GC' is a Senior Leader within DCA and will support the development and delivery of DCA's strategy and facilitate the implementation of a commercially sustainable business model and efficient operations. The GC will provide pro-active and strategic legal and regulatory advice to the Executive Leadership Team and the Board and be responsible for advising on the full range of legal issues arising within DCA, ensuring compliance with legal and regulatory requirements and DCA policies, procuring external legal advice where appropriate and managing external legal budgets. The GC will also perform the role of Company Secretary, with a dotted reporting line to the Chair of the Board. The Company Secretary is responsible for programming board meetings and ensuring that appropriate papers are provided in a timely way to enable the Board and its Committees to operate effectively. The Company Secretary also supports the Chair on regular Board and Committee evaluations. The Company Secretary will support the CFO in ensuring that all compliance and regulatory deadlines are adhered to, will become a subject matter expert on the Australian Stock Exchange listing rules and will administer the Company's option schemes. The GC will lead on drafting the non-financial sections of the annual report and review any ASX announcements. The GC will also be responsible for oversight of all corporate entities within the DCA group, including regulatory filings in Australia, England and other relevant jurisdictions. The GC will undertake as requested other activities that may be outside of their area of focus but which contribute to the overall success of the Company, as directed by the CEO, CFO or Board. Role breakdown:

  • Commercial legal matters, contract reviews, legal advice, business legal support, corporate activity (e.g. reorganisations, M&A), management of external legal instructions 40%
  • As Company Secretary, providing Board and ELT support including governance, record-keeping, company compliance, board planning and evaluation, implementing regular reviews of policy and procedures, Annual Report and ASX management. 50%
  • Other duties as required 10%
  • Salary: £80,000 - £90,000 per anum (FTE)
  • This role is available part-time, 3 days per week.

  • Working with the business to manage legal risk and compliance for the business.
  • Drafting, reviewing, and negotiating various agreements such as distribution, supply, sales, information technology, procurement, and supply chain agreements.
  • Responsible for Corporate Governance policies and standards.
  • Responsible for compliance with non-clinical laws and regulations, including Anti-trust, Anti-Bribery and Corruption, Modern Slavery, Data Protection and other relevant regulations to the business.
  • Ownership of all Company Secretarial activities

    A strategic and commercial qualified lawyer with prior experience in an in-house legal and compliance function (preferably operating within a regulated industry).
  • The ability to work autonomously as the sole lawyer within the business. Experience of the healthcare and/or private health insurance sectors will be an advantage.
  • The ability to provide pro-active and strategic legal and regulatory advice and summarise legal, risk and compliance concepts clearly and concisely to the Company.
  • The ability to engage effectively across the Company and with external providers.
  • Strong commercial awareness and experience managing budgets together with excellent communication and negotiation skills.
  • Experience of undertaking a CoSec role and the ability to learn about the ASX regulations and requirements. Knowledge and experience of working within a listed company environment is required.
  • The ability to contribute and collaborate as a member of the Senior Leadership Team, and to work effectively with the Board and key business partners.
  • Someone with high ethical standards who will engender and sustain a relationship of trust with the Board and senior management; confidence to "speak truth to power" and provide independence of thought in appropriate context.
  • Strong cultural fit with DCA; energetic, tenacious and resilient. This individual will need to demonstrate that they are comfortable operating in a fast paced, dynamic and constantly evolving environment.
  • They will be comfortable in an entrepreneurial, growth stage business, including working to refine and improve imperfect systems and processes. They will bring a continuous improvement mentality alongside excellent organisational skills.
