Full Job Description
Join a diverse, inclusive, and engaged Company Secretariat Team that demonstrates governance as a facilitator., This role sits within PLC Governance to provide maternity cover for the Deputy Group Company Secretary. It's a key role that leads the PLC side of the team to fulfil their obligations and responsibilities, follow best practices, act as a conduit between the Directors and Executive Management, provide impartial advice to the Directors and act diligently in the Company's best interests.
In this role, you will:
Support the Group Company Secretary in the delivery of Company Secretariat responsibilities to the Group and its legal entities.
Deputise for the Group Company Secretary where needed. Attend and minute Board meetings.
Lead the Group Governance / PLC side of the team and manage the Senior Assistant Company Secretary.
Act as Secretary to the Remuneration, Audit and Disclosure Committees.
Responsible for delivering against all PLC requirements, including the Annual Report, Annual General Meeting, Board Performance Review, regulatory matters that require Company Secretariat input, corporate governance developments, LSE and FCA requirements and best practices. Oversight of listed company obligations, including RNS Announcements and FCA filings and MAR compliance.
Responsible for share-related matters, and for providing the Reward team with Share Plan support as needed.

Qualified Company Secretary (preferably FCG or equivalent qualification).
At least seven years of listed company knowledge and experience, including technical expertise in the UK Listing Rules, UK Corporate Governance Code, UK Companies Act and Market Abuse Regulation.
A minimum of 5 years of people management experience.
Act as a trusted adviser to the Board, including our Non-Executive Directors, on listed company matters.
Experienced in Board and Committee Meeting management and administration, particularly effective and timely minute-taking.
Proficient in leading year-end processes from a Company Secretariat perspective, including the Annual Report for listed companies. Project management experience would be welcomed but is not critical.
Proven track record of developing and maintaining excellent relationships with key executives who provide reports to the PLC Board and Board Committees.
Ability to constructively challenge and positively collaborate to achieve the best outcome.
Ability to work with the utmost integrity in a fast-paced, dynamic, changing environment.

The Team:
We are a talented, supportive and experienced group of Governance professionals, with a fantastic team culture. Our team is arranged as two operational units to deliver PLC Governance and Subsidiary Governance.
The PLC Governance part of the Team provides support in terms of compliance with Company law, FCA requirements, UK Listing Rules, DTRs, MAR, the UK Corporate Governance Code and other regulations. The Team also maintains the relationship with the Company's Registrar and provides governance advice and administrative support to the PLC Board of Directors and the Board Committees.
The Subsidiary Governance part of the Team provides supports to the Group's legal entities, including its branches, to discharge their statutory and regulatory obligations in the UK. The Team also has oversight and provides guidance to its overseas subsidiaries to ensure the implementation of best practice corporate governance throughout the Group, being mindful of local laws, regulation and customs.
